Terms of Service

1. Acceptance of Terms

By installing or using CloverPeak ("the App") through the Clover App Marketplace, you ("Merchant") agree to be bound by these Terms of Service. If you do not agree, do not install or use the App.

2. Description of Service

CloverPeak is a labor cost visualization tool that connects to your Clover merchant account and displays a heat map of your labor-to-sales percentage by time slot. The App is designed to help you make more informed scheduling decisions.

3. Eligibility

The App is available to active Clover merchants in supported regions. You must have a valid Clover merchant account to use CloverPeak.

4. Clover Platform

CloverPeak operates on and through the Clover Developer Platform. Your use of the App is also subject to Clover's Terms of Service and Developer Agreement. In the event of a conflict between these Terms and Clover's Terms, Clover's Terms govern with respect to platform access.

5. Use of Data

By connecting CloverPeak to your Clover account, you authorize the App to read employee, scheduling, and sales data as described in our Privacy Policy. This data is used only to provide the App's core functionality.

6. Acceptable Use

You agree not to:

• Attempt to reverse-engineer, decompile, or modify the App
• Use the App in any way that violates applicable law
• Attempt to gain unauthorized access to our systems or Clover's platform
• Resell or sublicense access to the App without written permission

7. Disclaimer of Warranties

CloverPeak is provided "as is" without warranties of any kind, express or implied. We do not warrant that the App will be uninterrupted, error-free, or that labor cost projections will achieve specific business outcomes. Scheduling decisions remain the sole responsibility of the Merchant.

8. Limitation of Liability

To the maximum extent permitted by law, CloverPeak and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of revenue, profits, or data.

9. Termination

You may disconnect or uninstall the App at any time through the Clover App Market. We reserve the right to suspend or terminate access to the App if these Terms are violated.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Hawaii, without regard to conflict of law principles.
